1. Agreement to Terms

By accessing or using IntegrateWise services, you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these Terms, you may not access our services.

2. Description of Services

IntegrateWise provides platform-agnostic integration and AI agent services for Customer Success operations, including:

• Atlas Spine data normalization platform
• n8n orchestration services
• Read-only adapter views for various platforms
• AI agents for CSM operations
• Professional services (assessments, implementations, managed operations)

3. Account Registration

• You must provide accurate and complete information when creating an account
• You are responsible for maintaining the security of your account credentials
• You must notify us immediately of any unauthorized access
• You are responsible for all activities that occur under your account

4. Acceptable Use

You agree not to:

• Use the services for any illegal purpose or in violation of any laws
• Transmit any harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to our systems or other users' accounts
• Interfere with or disrupt the services or servers
• Use the services to infringe on intellectual property rights
• Resell or redistribute our services without authorization

5. Service Level Agreements

Our services include the following SLAs:

• Ingest Rate: ≥98% data ingestion success
• Health Compute: <2 minutes processing time
• Agent Uptime: >99.9% availability
• Rotation Compliance: 100% credential rotation adherence

Support response times vary by tier: Bronze (24h), Silver (12h), Gold (4h), Platinum (1h).

6. Payment Terms

• Fees are as specified in your service agreement or pricing page
• Payment is due according to the billing cycle specified
• All fees are non-refundable unless otherwise stated
• We reserve the right to change pricing with 30 days' notice
• Failure to pay may result in service suspension or termination

7. Intellectual Property

• All content, features, and functionality of our services are owned by IntegrateWise
• You retain ownership of your data and content
• You grant us a license to use your data solely to provide our services
• You may not copy, modify, or create derivative works of our services

8. Data Processing

• We process your data as a data processor in accordance with our Privacy Policy
• We implement appropriate security measures to protect your data
• You are responsible for ensuring you have the right to provide data to us
• We comply with applicable data protection laws

9. Termination

• Either party may terminate service with appropriate notice
• We may suspend or terminate accounts that violate these Terms
• Upon termination, your access to services will cease
• Data export may be available for a limited period after termination

10. Limitation of Liability

To the maximum extent permitted by law:

• Our services are provided "as is" without warranties
• We are not liable for indirect, incidental, or consequential damages
• Our total liability is limited to the amount you paid in the 12 months preceding the claim
• We are not responsible for third-party services or integrations

11. Indemnification

You agree to indemnify and hold IntegrateWise harmless from any claims, damages, or expenses arising from your use of our services or violation of these Terms.

12. Dispute Resolution

Any disputes arising from these Terms will be resolved through binding arbitration in accordance with the laws of India, with jurisdiction in Bengaluru, Karnataka.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes via email or through our services. Continued use after changes constitutes acceptance.
